Ebet and Btobet are taking legal action against Aspire Global for breaching several contracts.
Ebet initiated their legal proceedings in Nevada, while Btobet filed theirs in England.
NeoGames acquired Aspire Global in 2022. The transaction was finalized in June.
Ebet’s legal action centers around their purchase of certain B2C assets from Aspire Global in May 2021. This included websites, domain names, and intellectual property. Aspire established a separate entity called Karamba Limited for this purpose.
The lawsuit alleges that Ebet “depended on” Aspire Global’s representations regarding the deal. Ebet asserts that these statements were inaccurate.
Ebet claims that Aspire and its affiliated entities made “misleading statements” about the number of Aspire player accounts.
These purported false statements also encompass fees and revenue, and Aspire’s procedure for obtaining an online gambling license in Germany.
Concerning player accounts, Ebet asserts that Aspire deliberately inflated these accounts to induce Ebet to accept the agreement.
Ebet also charges Aspire with being aware that it couldn’t secure an online gambling permit in Germany. This is due to the fact that it allegedly missed vital payments during the procedure.
The legal dispute also accuses Aspire Global of “misrepresenting its operational expenditures in its post-audit carve-out financial statements to persuade Ebet that it was acquiring a business with annual revenue of approximately €65 million.”
Ebet accuses Aspire of violating representations and guarantees in the share purchase agreement by providing misleading information to Ebet.
## Btobet’s Legal Challenge
Btobet’s legal challenge lists co-founders Sousa Enterprises Ltd and Eltsar Ltd as complainants. It charges Aspire with breaching obligations in a special acquisition agreement signed in September 2020. This relates to Aspire’s acquisition of Btobet for €20 million at the time.
The challenge primarily focuses on terms related to income. Sousa and Eltsar claim that Btobet incurred extra jurisdictional costs in 2022, for which Aspire did not pay any additional fees.
According to the legal challenge, these costs arose from Btobet’s attempts to expand Aspire in different regions in 2022.
